By accessing and using CreditPass's credit scoring and risk assessment platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.

Service Description

CreditPass provides AI-powered credit scoring and risk assessment for unsecured crypto lending. Our platform aggregates on-chain repayment history, decentralized identity verification, and social signals to build comprehensive borrower profiles. We enable lenders to make informed lending decisions and help borrowers build portable credit reputations across protocols. We do not provide financial advice, investment recommendations, or lending services.

Credit Reporting and Scoring

CreditPass operates as a credit reporting agency for the crypto ecosystem. We collect, analyze, and maintain credit information including repayment history, borrowing patterns, and risk indicators. Our credit scores and reports are used by lenders to assess borrower creditworthiness and by borrowers to demonstrate their credit reliability.

Data Retention and Credit History

We maintain credit information for a period of up to 7 years, consistent with standard credit reporting practices. This includes positive and negative credit events, repayment history, and credit inquiries. Borrowers have the right to dispute inaccurate information in their credit profile.

Credit Disputes and Corrections

If you believe there is inaccurate information in your credit profile, you may dispute it by contacting us. We will investigate the dispute within 30 days and correct any verified inaccuracies. You may also add explanatory statements to your credit profile for legitimate disputes.

Consent and Authorization

By using our services, you authorize CreditPass to collect, process, and share your credit information with lenders and other authorized parties. You also authorize us to access your on-chain data, social media profiles, and other sources for credit assessment purposes. You may revoke this authorization at any time.

While we strive to provide accurate and timely credit information, we cannot guarantee the completeness, accuracy, or reliability of any credit data or risk assessments. Credit profiles and repayment behaviors change over time, and information may become outdated. Always verify credit information from multiple sources before making lending decisions.

Third-Party Sources

Our platform aggregates data from various third-party sources including blockchain networks, lending protocols, identity verification services, and social media platforms. We do not control or verify the accuracy of third-party data and disclaim responsibility for any errors or omissions.

CREDITPASS EXPLICITLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

IN NO EVENT SHALL CREDITPASS'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESS TO OUR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless CreditPass, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice. We may also update these terms periodically, and continued use of our services constitutes acceptance of any changes.

Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms of Use or your use of our services shall be resolved by binding arbitration, rather than in court. This includes disputes arising out of or relating to the interpretation or application of this arbitration provision, including the enforceability, revocability, or validity of the arbitration provision or any portion of the arbitration provision.

Arbitration shall be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association ("AAA"), including the AAA's Supplementary Procedures for Consumer-Related Disputes. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and CreditPass agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

If you are a resident of the United States, you may opt out of this arbitration agreement by sending written notice to us within 30 days of your first use of our services. Your opt-out notice must include your name, address, and a clear statement that you do not wish to resolve disputes with us through arbitration.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising from these terms or your use of our services shall be resolved in the courts of the State of California.

Miscellaneous

Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and CreditPass regarding your use of our services. Any prior agreements, representations, or understandings are superseded by these terms.

Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

No waiver of any provision of these Terms of Use shall be effective unless in writing and signed by an authorized representative of CreditPass. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms of Use without our prior written consent. CreditPass may assign these terms to any party at any time without notice.

Force Majeure

CreditPass shall not be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, war, terrorism, riots, labor disputes, or technical failures.

Survival

The provisions of these Terms of Use that by their nature should survive termination shall remain in effect after termination, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law.
